It's dropped another 10p so I've picked up another 2250 shares. I can't believe the value this share is currently offering! For a combined market cap of just $200 million (R1 + YuMe at the current price / post-merger ratio mix), you have the opportunity to buy a combined $490 million per year revenue business (R1 + YuMe + Rad1 + Perk), with expected net profits of $49 million (10%) post consolidation. And the company is expected to yield such profits from the cost synergies of combining the businesses into one combined full-stack programmatic platform without taking much growth into account. It's a pretty sound rationale to base an extraction of profit from (combine the businesses into one programmatic platform, synergise costs and extract profit ). And all this is currently on sale for just $200 million! IMO, this share is currently offering exceptional value. There is an emotion argument coming from the deramper camp that goes something like this 'Oh, the company hasn't performed during the last 3 years, therefore it won't perform in the future and now it's spent a lot of it's cash and will only have $20 Million left in the bank, it's therefore a busted flush, therefore I'm going to sell my stake in the company and you should too' without taking the time to understand what is actually happening now. It's an Eeyore mindset driven by emotional sentiment and fear. Nothing more. If RTHM execute the merger and cost synergy plan then Numis's 12 month price target of 720p will be achieved. Granted, there is a risk in R1 not being able to execute upon the consolidation plan, but this risk is more than priced into the current share price. I also think the BoD have tried to mitigate this risk further by making Ted Hastings CEO. Ted started his career as an auditor with Deloitte which gives him expertise in Financial Risk Management. You also have Eric Singer coming over from YuMe (Chairman) to oversea and make sure this profitability actually takes place - He also has form having already done it with YuMe. On the condition they received $32 million from YuMe then they would have approximately $12 million dollars in the bank post merger. If YuMe still had the $41.3 million from the report Q3 figures, R1 would have $21.3 million in the bank post acquisition, quite a nice uplift/buffer I'd say :)

Eddie, yes on track as you say. Bridging loan now in place as they stated it would be in the acquisition documents. YuMe's cash position looking very good and above target requirement. Both company's EBITDA positive. Once R&D, Sales and Marketing, Payroll, HR, and Finance departments are merged - can you imagine the cost savings. Everything starting to take shape :) The market will respond in time.

Revenues ever-so-slightly ahead of last year, which isn't bad in the current climate. Q3 also typically a poor quarter for advertising. $41.35 Million in the Bank which bodes well :)

Haha. A proper two way debate!?! That's a bit rich coming from you stt1, every one of your posts is negative and intended to shake out weak sellers. You're obviously shorting the stock, I don't know why you don't just admit it - Why else would you go to the lengths of posting all the downbeat drudge you can scrape off the internet (whether it's relevant to R1 or not). You're not invested here, so why all the effort? You've got to be short. With the effort you're making with all your posts, all negative, nothing else but you shorting the stock makes sense. The truth is, you either believe in the turnaround story or you don't. This industry is consolidating at a rapid pace and R1 believe they will emerge as a winner when the second phase of Adtech has emerged. If you don't believe that they will or you believe that internet/digital advertising is now dead then sell up (oh, that's right - you haven't got any shares to sell have you...) internet/digital advertising isn't dead and it's going to continue to grow, but the wild west days of digital advertising are well and truly over. Full stack platforms with verification and filtration at their core for the win!

It's Q3 results. Lowest quarter of the year. They can't be compared sequentially. Look at YoY.

I would very much bare in mind that Q3 is traditionally the worst quarter for online advertising. It's the calm before the storm. Advertisers, brands agencies and marketers will generally wait until Q4 to spend their budgets, so Q3 is usually a relatively quiet quarter.

Shroder, yes, already follwed his story at YuMe - During his time as Chairman he almost doubled the share price as well as giving shareholders two massive dividend payments.

I'm happy that Eric Singer is coming over as Chairman. He likes to hold Managements feet to the fire and he appears to get results.

I suppose the other residual risk scenario would be if the remaining majority of 70% YuMe shareholders vote no (wanting to stay independent) and they have no other reasonable offer. I assume in such a scenario, YuMe would still have to pay us the $5.54 million dollar deal termination fee.

I agree the risk is small as under their strategic review, deutsche bank would have contacted and sounded out all interested parties Re: the best deal they could get. And if someone were to come in with a higher last minute offer - and YuMe shareholders were to accept the offer, then they would also have to pay RhythmOne $5.54 million dollars for pulling out (cash that would need to be taken into account as part of any last minute offer).
