Nick would have had the largest chunk. So he has left so no warrants for him and his original 10m were cancelled.

PP1 they cannot sell them straight away. Trying to cause fear this bunch of imbeciles. I mean compliments to the board they have got the company to a £50m valuation. Something which @Isthisacult is saying will go BUST by March-26! LOL

Thanks PP1 I found it. I don't like responding to this bunch of clowns. But its needed to show we don't shy away from the rubbish they spout. Right you do know these warrants MAYBE issued and its not a GIVEN! Also they cannot be sold for 12 months once they are issued - and they won't / can't hit the market at once! Plus we have lost Nick so his is ta-ta good bye:

1. The Waiting Schedule (Vesting)

Even though the warrants are "awarded" the moment the price stays above 10.25p for 10 days, the staff cannot use all of them immediately. They "unlock" (vest) in four equal pieces:

After 6 Months: The first 25% (approx. 6.1 million warrants) become available to use.

After 12 Months: The next 25% become available.

After 18 Months: The third 25% become available.

After 24 Months: The final 25% become available.

2. Why do they do this?

Retention: If a director or employee leaves the company before a tranche "unlocks," they forfeit (lose) those warrants. It keeps the team working at the company for at least 2 years.

Preventing "Dump" Events: By staggering the warrants, the company prevents a massive amount of new shares from hitting the market all on the same day, which would likely crash the share price.

Long-Term Performance: Since the exercise price is based on the 3-month average before the award, the team is incentivised to keep the share price rising over that 2-year period so their future tranches are actually worth something.

3. The "Double Lock"

It is important to remember that even after a tranche "unlocks" and the holder pays to turn them into shares, they are hit with a 1-year lock-in.

Example: If Simon Brickles gets his first 25% of the new warrants in 6 months and chooses to exercise them immediately, he still has to wait another 12 months before he is allowed to sell those specific shares on the market.

Where are you getting extra warrants at 10.2p. That's not true from any of the RNS I have read???

I don’t see it and I have read the RNS’s.

For a small cap to make grounds and deliver products there is a natural need to dilute. Just take a look at the mining sector to go from discovery to production how much shareholders are diluted by. The level of dilution for the deal we have is small. Many small caps would have had multiple levels of dilution for this type of deal

GG - the board of directors have been INVESTED long enough to know some MoUs will not drive the liquidity. And I don’t think you will find many small caps where the Chairman has invested £4m of his OWN money to drive the company. If you have than please list the companies here

Strategic Memorandum of Understanding with Integra Foundation

Valereum Plc (AQSE: VLRM), a company aiming to become the global market leader in the rapidly developing

tokenised digital markets sector, is pleased to announce that it has entered into a Memorandum of Understanding

("MoU") with Integra Foundation ("Integra"), establishing a framework to collaborate on real-world asset ("RWA")
