Question 1:

Avacta has told shareholders we have been in deal-value discussions since June 2023. The data has improved at every juncture. When will the company finally deliver on the multiple promises made over the past year and announce a license deal.

Answer 1

We have been working hard on this over the last few months. We – the management team - have met many companies, US, Europe, Asia.

There’s generally a lot of interest in Avacta and our platform, which has enabled us to have these multiple conversations.

We have still early data in our Phase 1 trial with 57 patients treated.

We should also remember why we are interested in such deals / collaborations. There are two reasons, the first is validation from well-known players in the oncology space, and second secure some upfront non-dilutive funding. Recall the amount of funding received in the form of upfront payment to execute on the deal is going to be based on the stage of the deal and the asset, so for example a pre-clinical deal with another company’s medicine and the precision technology won’t be worth near to what an asset with phase 2 data would be worth.

We have spoken to a number of smaller and mid-sized biotech’s who can move very quickly and are interested to collaborate at an early stage, but whilst we could do some deals with these types of companies, often they are not going to give us the validation that we would really like.

To be honest we may even help them more in this respect than they help us as the medicine would be in their pipeline. Their ability to provide meaningful funding is somewhat limited.

We have also spoken to large pharma companies which would partner entire assets or for example AVA6000 and can provide the validation we are interested in, as well as the meaningful financial terms, but these larger pharmaceutical companies tend to work very slowly, - want more data, with these types of deals, and we really do require data into phase two, a defined patient population with a defined objective response rate, progression free survival, you know multiple end points and we’re just not there yet.

We’re continuing to have these conversations and we continue the work here deal making at least among several of the players.

The ADC space has also cooled just a bit as there have been multiple phase three failures here, so it’s really important for us to consider the external factors as well.

We will not strike a deal for the sake of striking a deal, where we don’t feel we are getting the right validation or the funding the technology really deserves.

AVCT - You have just received shares due. If you drip feed them onto the market as normal, you would do better to start doing so after our prelims.

Preliminary Results for the Year Ended 31 December 2023 (RNS dated 30.04.2024) contained :

An individual with sector, commercial and listed company experience will be the ideal addition."

- Darlene Deptula-Hicks became board member 26.06.2024, and is clearly not a shareholder communicator.

There has been no news of her services to Avacta.

Nobody knows why she has been appointed.

IMO she is Avacata's Special Operations Executive, and she is not the individual they were seeking.

The RNS 30.04.2025 contains - "As Avacta transitions to a pure-play biotechnology company, we have initiated the process of appointing an independent non-executive director with relevant international commercial experience and expertise.

A further announcement will be made in due course."

They haven't just started to look for the new NED as "we have initiated the process of APPOINTING an independent non-executive director" .

So IMO a new board member joins soon, and they may have been looking to fill this vacancy for a year.

Are the board prepared to have someone parachuted in from a yet to be announced partnership, if so no wonder the post is still vacant.

As the two requirements above are similar, I assume they want to announce this person under "Events after the reporting period" in the Preliminary Results for the Year Ended 31 December 2024, ie May 2025, and this may be the reason the Prelims are delayed.

None but scientist Michelle Morrow and (CFO cum secretary) Brian Hahn have joined the leadership team, (not the board) in the last 12 months.

Neither person is the subject of the above RNS statements.

It's possible we might have news of a new partnership this month, but as ever this is very much finger in the wind.

IMO - no experience more relevant than a name from a fresh partner.

Due course perhaps being the Preliminary Results, May 2025.

I hear what you're saying BV.

Considering what BP know from public domain and other sources about Avacta and the precision platform, I think there is a 'reasonable chance' that there won't be a post-phase1b period for Avacta because Avacta won't exist.

It will have been bought, or more likely will be in a bid - counter bid process to decide who that buyer will be.

If that reasonable chance materialises, and investors have decided to invest pre phase 1b results, then multi-bagging is assured.

'investors and would-be investors need to decide whether to buy at these low prices before Phase 1b results are announced or wait and consider buying after.'

Not necessarily the case if the 'reasonable chance' occurs, and Avacta are the subject of a buy-out.

If that should appear in an RNS carrying the news of successful phase 1b, there won't be an opportunity to buy cheap shares.

The key is not just phase 1b successful results, it's how much BP believes those results validate the platform and the pre-clinical pipeline.

So do individual BP's want to be the owner of this technology, at this stage in it's development, and how much does it mean to them if they are not the next owners.

A much higher (and unknowable) price will have to be paid if Avacta completes a successful phase 2 trial.

If SB has a deal in place triggered by the success of phase 1b, one of the ways other BP might respond to that news is to attempt to buy the company.

They won't wait long to do so.

Why do think so many here are holding AVCT shares now.

At the point successful 1b results are published, the sp will move in a positive direction - big time.

That'll be because a deal is consequent on successful 1b results.

Results and a deal could even be announced simultaneously.

Simon Bennett has nothing to show for over a years work, and this will be his P45 moment.

As he's presently still employed, I'm sure CC & Co are happy a deal awaits good trial results.

A deal is on the cards else SH will want to know the reason why.

Thinking about things after successful phase 1b results will be a huge disappointment / mistake for you.

I'm sure Brian is performing the CFO role AVCT, although his qualifications are not ideal in UK, - fine in USA.

The fact is Avacta does not have a CFO according to Companies House, and that may be to keep the role flexible for the future.
