My shares in Solidcore are held through Hargreaves Lansdown. I have reciceved notification from them that Southey Capital, a third party that is not affiliated with HL, has made an offer to purchase a number of Solidcore Resources plc shares from existing shareholders through a tender offer. Participation is entirely optional.

The purchase price will be calculated at a 12% discount to the average market price of a Solidcore Resources plc share reported on the AIX website on the day before the relevant purchase takes place.

What is the view of other owners holding their shares through HL?

Recently appointed new Non Executive Director buys 75,000 shares @2.8117.

My shares are held through Hargreaves Lansdown who have advised me that it is their understanding that as they hold the shares directly on the ASX register rather than through Euroclear, the mandatory buyback would not effect shareholders holding their shares through Hargreaves Lansdown.

An extract from the company's communication yesterday.......

The Company has received numerous requests from shareholders as to whether their shares are subject to the mandatory buyback and therefore wishes to remind shareholders of the steps that they are advised to take.

To be certain whether your shares are subject to the buyback process announced by the Company on 14 July 2025, please request a statement with full ownership chain from your broker as soon as possible. If Euroclear is present in the chain, then your shares are subject to the mandatory buyback at US$ 2.57 per share which may be implemented after 3 November 2025. You are advised to transfer your shares to the AIX infrastructure if you do not want your shares to be repurchased. The deadline for the transfer completion is 31 October 2025.

For the same reason as you, I too have retained my holdings with HL. General meeting is to be held tomorrow, yet no communication/notification from HL to allow us to vote.

Down today possibly in anticipation of 2023 full year result to be announced on 7 March....may be market does not think that expectations will be met?
