Is that nothing can be passed without our say so, we still hold 80% of shares thankfully, due to the strong support and stoic approach of wronged investors wanting a fair deal or some recourse to justice. The good news is with the shares suspended Jones can't perform any more Paul Daniels tricks with the shares in issue.. If by any chance the bod fulfil their empty threats of receivership we are in a strong position to realise the assets of the company, we own 80% !!! I'll repeat it again for HASO we own 80% of BHR (Five minute silence whilst he catches up !!). So our opportunities are multiple, I'll list a few but not all as we know the idiot twins read the bb, they told me last Wednesday; 1) The company come with a fair offer. 2) One of the II's comes with a fair offer. 3) The receiver has to negotiate a deal with its shareholders. i.e.us. 4) We acquire the assets.. and, and, and................... Not going any further as BHR will attempt to understand our activities, Its a shame they didn't spend more time focussed on what was required to get us to Tier 1 with the $80m they squandered rather than keep talking about it and promising jam tomorrow. We want jam today!!! Haso are you still with us?? We are far from a dead duck, we hold the cards to the future (80% of the shares). Everybody needs to read the JORC statement of January 2013. We have 86 million tons of coal, (86 MILLION TONS).. Even if it only worth $1 / ton, that's $86M, if its worth $10 / ton then that's $860M, and at the market price of $100 / ton that's $8.6Bn... Yes $8.6Bn.. Haso you still with us??? Burble. I have pressed the numbers for the vote with the Nomad, they will not publish them. We are now seeking the numbers from another source, we will post them when we get them. Audited accounts are no problems, they are in the public domain. We are on it and already have them. Haso. You put this question before the vote, we suggested you sell rather than whine, if the shares were suspended or receivership followed. There are many here who were, and are, not prepared to let the company reduce our shareholdings by a factor of 1000 / 1 essentially wiping us out and passing the company to Vitol / Latitude on the cheap. You really would do well to do some research to understand the real value of the assets (Coal in the ground) and to also try and understand where the $80m already raised in past placing's to upgrade the plant has been spent.. When you have, come back and tell us why you think we have fought this company.

Many of us have asked for investigation, Tom confirms they are investigating, that could be as a result of all the information we put to FCA and aim regulators as well as the Nomad. It could be Tom sparked them off, or maybe they have added his concerns to those of the many on here. The important thing is BHR management are now under investigation. ;+)

Tom Winnifrith has just released the following on the shareprophets website. Last week I revealed the curious tale of Beacon Hill Resources (BHR) chairman Justin Farr-Jones and his hairdressing pal. The Beacon Hill Shareholders action group has polled its members and 99% want Farr-Jones to quit immediately – you can see the survey HERE But that is the least of his problems. The whole saga stinks and amid suspicions that it was an attempt to rig the EGM vote so as to keep the management gravy train on the road I have asked the FCA to investigate the actions of Mr Farr-Jones. We approached the company and the Nomad, their response was you voted down the motions why do you need the numbers?? We said the numbers could come under scrutiny at a later date when potentially this whole event goes legal, and by the way we have a right to know the numbers of votes cast for and against. They claim they have fulfilled their obligations to inform the market with the outcome of the vote. Since when has a poll in the UK been run on a basis of "proportional representation" i.e. percentage of votes?? It's all just another example of devious behaviour which unfortunately is now the norm from the bod. As a minimum Jones has to go..

You are absolutely right Jones should resign, but I really don't think the individual has any morals, if he did he wouldn't have tried to stitch up shareholders in the first place. When I met him in September I realised his credentials and posted them here, having met him again last week my opinion of him is no better. If the other members of the bod had anything about them they would cut him adrift so as to send a signal that corrupt acts will not be tolerated. If he does not leave it suggests the bod were supportive and complicit in his attempt to rig the vote.

We still appear to have 200 staff on the books, why are we not producing and stockpiling coal?? It will be sold at some point in the future.. Why when we were strapped for cash did we spend $Xm on rail sidings when we knew we were going into care and maintenance and also about to sublease the train sets and infrastructure.?? Its like paying for 100 premium parking places, in business parking at Heathrow in advance for one and a half years, when you don't have a car and your not going on any flights for 18 months.. !! They should demand this money back from whoever has the sublease as we are not using the facility and presumably they are..

As you well know BHR and its management make it up as they go along, I've never known a company so lax in its approach to governance and rules.. But in summary they are registered in the UK and listed on a London Stock Exchange so whatever they might believe or say they will be answerable even if they think they are fireproof. Look at how many celebrities who thought they were above the law and untouchable (forgive the pun) are now serving at her majesty's pleasure, it should be a great pantomime in Wormwood Scrubs this year.. Maybe one or two from BHR might be in the audience next year!!

BHR have a intermingled collection of company's listed in many locations, this is a major concern as to who owns who, but the companies accounts show all subsidiaries as being wholly owned by the BHR Ltd with the registration number previously posted. They will be governed by companies house and their articles of association (Which we have). Jones, Karstel and crew are listed directors of the entity and as such will be subject to British law.

BHR are a registered UK company, any admin would take place here. Registered Number 5696680 Registered Office (UK) 44 Southampton Buildings London, WC2A 1AP We have their articles of association. But please don't think in this direction we have a lot of information coming to us as to the real value of these assets. B.R. andy.

Morning all. redbike it is Phil from RRL, he let us have all the "how to vote no" info.. Phil, many thanks for the words of support and also the active support you provided us, it really was so much appreciated. There now seems to be a revolution taking place on aim with many actions against companies starting to produce results.(Good luck with yours). I've mentioned it before that I see an opportunity for a collective of people from bb's to act as a vetting procedure of aim companies, if we regard the company as hooky we get them blackballed across all bb's and the wider media, they are then buggered if they have no investment support, give it a little thought. ;+) Now back to BHR, some are asking of the actions we are undertaking and want a more robust approach, believe us when we say we are on the case. We have offers of legal representation, independent audit of BHR books as well as several captains of industry offering the "what we should consider next" advice. We are very aware of applying the right actions at the appropriate time, we want a good outcome and not just shoot ourselves in the foot with a "vengeful" approach, however tempting this course of action is. With Christmas approaching we see it unlikely BHR will respond with any renewed offer, either from them or their supporters, suffice to say the II's will have serious doubts as to the competence of Jones and co given the dogs breakfast they make of everything they touch. I wouldn't be at all surprised if they are seeking a replacement of certain BOD members just as we are. If Jones had a modicum of decency he would resign and give the company a fighting chance of recovery without the tarnish (polite word) he has brought to bare on us. Nice weekend all. ;+)

Respect.. ;) Believe me, redbike, Katie and others are also making huge contributions and efforts for the cause. ;) One thing which has surprised us is we have people coming to us and volunteering their services to help in the name of seeing justice done. We might think Britain has been reduced to a me, me, me society over past years, but believe me when I say humanity is alive and well in Britain and it's quite humbling that some people with nothing to gain out of this have offered their services. One gentleman who is living on incapacity benefits contacted us to say "whilst he has no money to offer he will do all he can to support us". He has already come forwards with some great research and ideas as to what we should consider doing... Now that's what I call a proper gentleman. !!!! ;+)

Puphead. There was a PI at the meeting (Eddie) who put to them just what you have listed up, do you know what their reply was and I quote "We don't remember we would have to check"... Now you would think most of us would remember where $80m ++ had come from, even Bernie Madoff managed that. You want to know the really sad thing? In all the RNS's it mentions the money was to be spent on plant upgrades so by now we should have been a Tier 1 producer. The truth however is none of the upgrades have been done so where has $80m gone.. ??

We are exerting pressure on the BOD of directors from many quarters, and believe me when I say we have only just started !!! For them to come with anything other than a proper offer to shareholders will see any future derisory offer met with the same outcome as the last one. I think we will command even more votes next time as people now know we can win and with the shares suspended it's a straight decision for those still holding. Also the BOD have no more chances to issue warrants, get dodgy buyers, or pull other stunts to prolong their miserable existence. It's very simple, they come to us with an offer from Vitol / Latitude for the company (Small change to these companies to make a sensible offer for the shares and assets of BHR) and most likely a lot less than Jones and Karstel will fritter away over the coming months if by any chance they survive this debacle. They keep mentioning administration, do they really want administrators having full access to the actions of this company and all the skeletons in the cupboard.?? There's no hiding place once the administrators start to dig!!!

Many thanks, and for the on-going support, but we will only take any real satisfaction when we have got a better deal on the table for us shareholders than the "fait accompli" we were faced with earlier this week. The BOD surprised us all with just how desperate they were to get their vote through with "Jervais the hairdresser" seeming to want to branch out into the coal business, must be a big salon to merit 2.8m tons per annum to keep the fire going..

We are still pushing strongly for the voting numbers, they can't withhold them, so there should be an RNS on this if nothing else. We are also pushing ahead with other initiatives which for sensible reasons we can not publish on a bb.
