Although Ingenuity is now private the share register should become available soon for inspection.

As the issued share capital went up at the same time of the raise Sofina may have avoided a TR1, their previous notification is 4th Oct prior to the fund raise and not related.

The tide is going out with a reduction in the share capital triggering TR1 as their percentage is materially higher.

For Sofina and presumably Frasers (and others) to increase their holding in THG Group (remainco) someone had to give up their shares, that person looks to be Matt at least for the moment.

From my limited observations there is nothing to stop Sofina increasing their holding in THG while taking their allotment in Ingenuity too, in fact this would give them a higher figure to elect.

Still very much watching Frasers, key imo ..

I would think the Cavendish appointment is in response to major holders being a bit miffed, same as everyone else.

Its also a positive for UK holders, prospective and existing alike as it suggests the rabbit will retain its UK listing amongst the widespread exodus of other companies.

Maybe the share price issue will pop up at next weeks analyst call..?

Accordingly, the total number of voting rights in the Company as at 31 December 2024 was 1,322,058,529. This figure may be used by the Company's shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Disclosure Guidance and Transparency Rules.

That should bring their cash pile to around $1.6b v market cap £2.1b

Reading the release in full it appears Ingenuity subscription was heavily oversubscribed;

· valid elections to participate in the B Share Redesignation and Ingenuity Distribution have been made in respect of 424,005,142 Ordinary Shares, including 326,455,745 Ordinary Shares in respect of which over elections were received by the Company;

'204,081,632 Ordinary Shares will be redesignated as B Shares on 30 December 2024 and 204,081,632 Ingenuity Shares will be distributed to holders of B Shares on 2 January 2025;

· elections were satisfied in respect of 32.63299317 per cent. of the Ordinary Shares in respect of which over elections were received by the Company; and

· once the B Share Redesignation has completed, the number of Ordinary Shares in the capital of the Company will be reduced by 204,081,632 Ordinary Shares to 1,322,058,529 Ordinary Shares'

End of year portfolio re-balancing n all that, not sure what Vanguard has left from sustained selling but could be they are clearing out last bits.

We had the initial notification mid Oct, deadline towards end of Dec - that's plenty of enough time to consult with advisers not to mention the reams of posts on here.

I take it you are referring to me as being disingenuous, please explain why you couldn't take up your allocation (bearing in mind this is the stock market).

The board went to great lengths and no doubt expense to make sure everyone had the exact same opportunity, many investors posted their response to not taking up the offer as unwilling to pay tax outside of their ISA.

Just how greedy can you get, that showed the tax man eh?

It makes sense for Ingenuity investors (which are largely the same as THG Group) to buy out the remainder, arguably they are already one-third of the way.

A quick glance at general media coverage re China, usual flow of companies from Disney to Bayer either expanding or setting up in China, Tesla's giga factory close to opening too.

Even Apple have started to complement China's industry, contrast this with Tim Cook earlier in 2024 very much beating India's drum.
