You've got one thing right, there'll eventually be a takeover but the idea is to try and maximise your returns.

Slipping down the plughole due to lack of funding will not do that..

I would say you're probably correct there tkevin.

There are no doubt many holders who either do not wish invest/risk further funds.

Just a little heads up for those planning or thinking about taking part in the Open Offer that closure for applications with Hargreaves Lansdowne is Wed 4th at noon.

Not sure if this same deadline for all brokers...

You still haven't grasped why taking up your offer allocation is preferable for all concerned, compared to the very small discount you think you'll get buying from the market.

What if everyone did that?

• The company wouldn't raise the required funds to grow to return you a potentially more sizeable profit.

• The company would have diminished funds and would likely fold in weeks - bye bye your money.

• The company would not be able to expand it's range of products, pursue markets etc.etc.

In my mind, you need to balance the tiny saving in share price against the potential share price once substantial funding is in place and the company develops.

I'm not guaranteeing a profit or future growth, but if you're planning to invest money here anyway, there's a better chance of the company returning a better profit if the placing is a success.

In reality, I don't believe there's any play here for a current shareholder or concert party to take over .

I think the real play here is getting the company in a stable financial footing in the near term through regular orders, FDA approved sales etc. then hope for a big fish to gobble us up. 🎣

The point is that by purchasing the placing shares you are raising money for the company to hopefully grow and increase the share price. The offer price and share ratio (8/55) effectively offsets the small dilution caused by the raise while also ensuring the company gets funds for FDA etc.etc. It won't grow if investors don't participate - in fact your investment will disappear down the plughole!!

If you've any history here, you'll know this raise is hugely more agreeable than the last failed attempt in Sept/Oct.

The actual share allocations hasn't taken place yet.

However, you can cast your vote for the EGM (meeting) to either vote for or against the raise/placing proposal.

As stated in the latest RNS, the vote has to pass for the placing to take place.

• With HL, log in to your account using the website (not app!).

On the right-hand side of the you accounts page you will see a section marked 'Shareholder Meetings'. Click on that.

•On the next page, scroll down to the GDR notice and select 'Give Instructions'. This will open another page where you can cast your vote(s).

If you were a shareholder at the record time (6pm Tues just gone) and are therefore entitled to participate in the placing/raise, there are probably 2 main reasons to buy placing shares rather than direct from the market.

1. Taking part at the 8/55 ratio will allow you offset the expected dilution percentage (this ratio seems very specific).

2. Buying the placing shares rather than existing market also raises money for the company. This is the main purpose of the raise - buying from the existing market instead adds nothing extra to the company's coffers!

Agreed, not everyone will take up their entitlement, but I believe the unclaimed shares can be purchased additional to your entitlement should you wish to do so.

As for DN buying from the market direct recently, he has probably calculated on the placing ratio the initial holding he would need to get to the final holding % after the placing stated in previous communications. It also had the side effect of lifting the price slightly, thus providing a slight discount when buying the placing shares.

Also good to see some of the BOD buy in at £50k each.

Personally, I will be taking up my full allocation.

As I understand it, as long as you already hold 6,875,000 shares at the offer deadline, that's what you'll be offered.

Basically offer is 1p to shareholders on a 8 shares offer for every 55 held.

Offer will need to be approved at a GM (date yet to be announced)

DN is converting is loan of £500k to shares - interesting as this means the BOD did not execute the £500k drawdown facility also offered by DN.

BOD are chipping in alongside a closed offer to 3rd party investor(s).

That's at least the second major closed fundraise that's taken place in the last year.

It would be nice if us retail/private shareholders could take part, especially as they are annoyingly only announced after the fact, at a discounted price and causing involuntary dilution 🫤

Don't forget that the dormant Pitombeiras VTM project with it's projected $96M NPV is already 100% owned by JAN.

Think there's a glut of shares out there at the moment. Just been quoted 1.57 to buy 100k 15mins ago, so suspect warrants rather than traders.

Although it puts more cash in to the JAN kitty, the quicker the warrants are churned the better...

Gold may be the main driver here, but don't forget JAN are not just a gold miner!

They still retain 100% ownership of the Pitombeiras Ferrovanadium Project, Ceará, Brazil - a high-grade titanium dioxide ('TiO2') and vanadium pentoxide ('V2O5') source.

They also hold a share in the unique Fodere mineral recovery process including exclusive use in South America (once commercial).
