(Alliance News) - Kohlberg Kravis Roberts & Co LP on Friday outlined board appointments planned for Spectris PLC and its new parent company once its proposed acquisition of the precision instrumentation firm completes.
The US private equity firm said that, following the deal's effective date, it intends to appoint Joshua Weisenbeck, Christopher Drewsen, and Sophia Kakarakis to the board of Spectris.
KKR also announced that Andrew Williams will become chair and Pat Murphy vice chair of Project Aurora Topco Ltd, the parent company that will oversee Spectris after completion of the takeover.
Neither will sit on the Spectris board, with the Topco board serving as the group's main decision-making body.
The Topco board will include Williams, Murphy, Weisenbeck, Drewsen, Kakarakis and Spectris Chief Executive Andrew Heath.
KKR said these appointments reflect its approach of working collaboratively with high-quality industrial companies to "transform their business and scale them globally."
The updates follow KKR's recommended cash offer for Spectris, announced in July and implemented through a court-sanctioned scheme of arrangement under the UK Companies Act.
