The following is a press release from Moody's Investors Service: EUR1.25 billion of debt securities affected London, 18 June 2010 -- Moody's Investors Service has assigned definitive long-term ratings of Aaa to Series 1 of the mortgage covered bonds issued by The Royal Bank of Scotland plc (RBS or the issuer) under its covered bond programme. The covered bonds constitute direct, unconditional and senior obligations of RBS and are secured by a pool of residential assets (the cover pool). The rating takes into account the following factors: (1) The credit strength of the issuer (Aa3;P-1). (2) The structure created by the transaction documents. (3) The credit quality of the assets (the cover pool) securing the payment obligations of the issuer under the covered bonds, with a current collateral score of 8.3%. All the loans in the cover pool are backed by residential assets originated by the issuer or one of its subsidiaries. (4) The commitment of the issuer to maintain an asset percentage of 84%, which translates into an over-collateralisation of around 19%. Moody's considers this over-collateralisation to be "committed". As of the launch date, the total value of the assets in the cover pool, comprising 33,820 mortgage loans, was approximately GBP4.57 billion. The cover pool assets are mortgage loans secured by properties in the UK. The loans have a weighted-average seasoning of 12 months and a remaining term of 255 months. The weighted-average loan-to-value (LTV) ratio is 68.6%. Moody's has assigned a Timely Payment Indicator (TPI) of "Probable" to the Covered Bonds. As is the case with other covered bonds, Moody's considers the transaction to be linked to the credit strength of the issuer, particularly from a timeliness of payment perspective. If the issuer's credit strength deteriorates, all other things being equal, the rating of the covered bonds may be expected to come under pressure. The programme has already been registered by the Financial Services Authority under the Regulated Covered Bond Regulations. RATING METHODOLOGY Moody's rating for any covered bond is determined after applying a two-step process: (1) Moody's determines a rating based on the expected loss on the bond. This is modelled as a function of the issuer's probability of default and the stressed losses on the cover pool assets following issuer default; and (2) Moody's assigns a TPI, which indicates the likelihood that timely payment will be made to covered bondholders following issuer default. The effect of the TPI is to limit the covered bond rating to a certain number of notches above the issuer's rating. The ratings assigned by Moody's address the expected loss posed to investors. Moody's ratings address only the credit risks associated with the transaction. Other non-credit risks have not been addressed, but may have a significant effect on yield to investors.
