Robspu, We've previously been told that we will receive one share in the new company for each share we hold in Touchstone Gold. Although there could then be a consolidation of the new shares. Touchstone Gold itself will then probably be dissolved in due course.

Hedge So do our shares move to ITS from touchstone gold and then touchstone gold just disappears. Sorry if I seem ignorant, but never quite come across anything like this before. If so how does the transfer of ownership take place

I note that the ticker ITS is untaken on the London Stock Exchange (the guys at TGL would probably have checked first). And as an acronym it does have certain positive connotations; e.g. Information Technology Share, Instant Tenbagger Status ...
Robspu, It looks like ITS could be the new holding company for GOS Systems, for its relisting. Touchstone Gold has complicated legacy issues relating to its Canadian domicile and taxation, and its acquisition of GOS (because it was so cheap) doesn't seem to meet new RTO (reverse takeover) rules, so it simplifies things to remove GOS Systems from Touchstone Gold. And having a holding company to own the trading companies is a standard approach, and has advantages re. any future acquisitions and disposals.
I am not sure how this all ties together, has anyone spoken to the company directly recently? I spoke with them late last year and all seemed to be implied things will all come together with TGL's major shareholders interests in alignment with us smaller guys which I found reasuring. Can someone explain what is going on here? why set up another company when they already have GOS? How does this piece together?

Thanks Kr, a great find! "Incorporated on 5 January 2016" - The day after TGL delisted, quite a 'coincidence'. "Registered office address 32 St. James'S Street, London, England, SW1A 1HD" - Same address as Touchstone Gold, and Stanhill Merchant Bank. And I like the name: more exciting for a share than GOS Systems, and better portrays what the business does. It also better allows for subsequent acquisitions.

Corero Network Security (CNS) is second on the top risers list today: All-Share Price Change Kimberly Ent. 0.35 100.00% Corero Network 27.50 32.53% CNS's market cap. is now £45.5 million, compared to £4.8M. of turnover in 2014. Am I alone in thinking that GOS Systems could relist at a massive premium?
Many thanks for your reply... It at least puts my mind at rest a little that the investment isn't gone for good - but there is obviously that possibility now that they fold the company. I don't think though that this will happen... I've been burnt a few times in the time I've been investing and the golden rules have always been to do research, not trade based on other people's views and to do more research! What I saw with TGL and the board was good enough to put my hard-earned into and I stand by that. Hopefully we'll get a result in the first few weeks of the year. I can understand the frustration but at least it isn't all dead in the water at the moment. Keep the faith and let's see where we go. Thanks again.

I agree that feedback from TGL has been very poor but I am sure that Mr Khan has a reputation to maintain and the management here have given out very positive signals in the recent past.Getting kicked-off AIM is not clever so that raises a few questions about competence and I am sure that the last shareholders in the placement would be expecting a good outcome here including Mr Khan.If,God forbid, TGL shareholders do lose out here there will be a lot of questions asked of the Regulators but I don't think it will come to that!

GOS systems was originally intending to float in 2013 with a pre-new money valuation of about £22M.: "THE TIMES Tapping into the market for security July 15 2013 Nic Fildes A company that develops technology designed to tap the phones of terrorists and protect the identity of spies and informants is set to float in London. GOS Systems plans to raise £8 million via a float on AIM that is expected to value the homeland security specialist at about £30 million. The company runs its own telecoms network used by security agencies and the police to protect the identities of field operatives and informants. It also gathers data by tapping phones and monitoring the internet usage of suspects. ... Sometimes it's a good thing to be in a share that delists. Because businesses that delist can relist later at a much higher share price. A good example is Direct Network Publishing, which delisted from OFEX in the late 1990s, spent a short period unlisted, and then relisted in a different form at about ten times its share price at delisting. I.e. the holdings of shareholders at the time of the delisting became worth ten times as much at the relisting. "Durlacher a scout for the scary sector Tuesday 20 April 1999 00.58 BST ... Hi fellow TGL holder. Although not qualified in the least I do however have experience of the his sort of thing having been locked in a delisted company now for almost 3 yrs now. TGL is now my 2nd delisted company I own shares in. Shares held in a normal account will be transferred automatically if and when the company relist. Be it TGL or GOS. Currently they have no value, although you still own a percentage of TGL and will remain so. There is no time limit that I'm aware of and I like I eluded to above, my other company is 3 yrs and still no relist in sight but again I still own a percentage of the company. If and when they relist, there value will be reassessed and that figure will be incorporated into the new share price. Your 4th question is answered in my opening statement. I personally can not see why HH100 is still adamant about TGL being a Strong Buy, when the rest of us see it as it is and that's shares that worthless with nothing from TGL in reassurance or some sort of timetable going forward. I think it's a disgrace that we've had nothing since the last RNS in October. All they had to do was release the figures within 6 months. We've been stabbed in the back and what becomes of the nice bloke at the end of the phone when countless of times it's all everything is rosey and nothing to worry about. Mugs is all I can think of at the moment and that's not them that's us....... Gutted this was not sorted. I could of lumped all this TGL cash into Chonca after that crashed back to levels worth investing at after a failed merge or whatever it was. It's already trebled from the price it fell back to and it's all because of TGL and oh Mr Khan who's the golden child to some posters on here. But that's my problem I know, I just feel better getting that out..... If any of the TGL board happen to read this BB I'd just say, make it sooner rather than later if anything is going to happen regardless of winding the company up or giving us shares in Cambridge because of the huge F up in TGL. If TGL does indeed relist as GOS in the future, what will happen to the shares held in a standard dealing account (and not an ISA)? Are they now worthless or will they be transferred when/if they relist under another banner? Is there a time limit now for all of this to take place? And if the shares are transferrable into a new listing, will it be automatic or will there be procedures to undergo? Sorry for the questions - I've been dealing for about 4yrs now and this situation (thankfully though regretably) is new to me... Thanks in advance...
