Hydrogen Utopia International PLC (HUI) has signed heads of terms to acquire an international bioenergy company with over €365 million in revenue and €40 million in profits. The acquisition price is approximately £500 million, to be paid partly in new HUI shares valued at £0.09 per share.
As part of the deal, existing HUI shareholders will receive 3p per share in cash. If HUI's technology meets certain criteria within 3 years, existing shareholders will also receive 2 additional HUI shares for each current share held.
The acquisition target owns land in Europe suitable for HUI's first commercial-scale plastic-to-hydrogen facility. Funding would also be provided to prove the concept at scale.
The deal offers a strategic fit for HUI's objectives of turning non-recyclable plastic into renewable hydrogen and fuels. It still requires due diligence, a binding agreement, shareholder and regulatory approval. HUI intends to retain its London Stock Exchange listing after the transaction completes.
In summary, HUI plans a transformative acquisition to accelerate commercialization of its plastic-to-hydrogen technology by integrating with an established bioenergy company. The deal aims to create shareholder value but remains conditional pending approvals.

On 29 December 2023, HUI exercised its call option to acquire 49% of Ohrid Organics. The transfer of shares in Ohrid Organics is anticipated in the first quarter of 2024 and will be subject to completion conditions and documentation.
Been in since IPO so of course 50% down give or take on those shares but this income stream should be significant. Have added in the two years since so wondering if 2024 is the start of the uptrend? Thoughts?

The whole thing is starting to look really desperate. One HUI "non-RNS" after the other. This is absolutely unworthy of a main market PLC. In any AIM company, the NOMAD would have given Howard and Aleksandra the last RNS back, asking if they were serious about abusing the RNS system.
What kind of news is this?
"Oh, the company that is 95% bought by the company we are allowed to buy half of has a new website".
"Oh, there's a new interview with our CEO that we commissioned from Proactive ourselves".
Miserable pump (no dump). Come on, tell us why you have to have the shareprice higher in the short term at all costs?
Let me guess:
After HUI are supposed to give you 49m HUI shares for 49% of a company shell, are they also supposed to put in all the money needed to get the thing going? Is it about HUI placing or is it about HUI taking on debt because you will find a reason why it is better than taking on debt yourself or putting your own money into your company?
Is it that the soon to be reprinted "non-dilutive" 49m HUI shares will need a certain minimum SP for some reason? Or is it about creating some sort of boundary conditions for HUI to borrow new money and then lend it to the dope farm company?
I have the feeling that HUI was brought on board here to take over the complete financing and the complete risk at 49% of the shares and to give Howard 49m shares as a thank you.
It will be interesting to see what happens tomorrow morning. Since the pumping didn't work on Friday and it seems as if there is some price pressure, we will certainly see more such actions. Perhaps another coercive buy from the gentleman with the deep pockets and his friends on the low volume market in London ... or maybe another interview RNS.
