TOTAL VOTING RIGHTS

In conformity with the UK Financial Services Authority Disclosure and Transparency Rules (DTR 5.6.1R), we would like to notify the market of the following:

The total number of voting rights in Intermediate Capital Group PLC is 86,341,058.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Intermediate Capital Group PLC under the FSA's Disclosure and Transparency Rules.
