TOTAL VOTING RIGHTS

In accordance with the Disclosure and Transparency Rules, Panmure Gordon & Co. plc ("the Company") confirms that its issued share capital consists of 150,228,905 ordinary shares of 4p each, with each share carrying the right to one vote. Of this number, 1,984,810 ordinary shares are held in treasury, therefore the total number of voting rights in the Company is 148,244,095.

The above figure of 148,244,095 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Disclosure and Transparency Rules.
