Total Voting Rights

Entertainment One Ltd., the international entertainment group, makes the following announcement in accordance with Rule 5.6.1 of the FCA's Disclosure and Transparency Rules.

As at 31 January 2014, the Company's share capital consists of 285,029,656 common shares, of which 3,463,706 are classified as treasury shares. The number of common shares in issue excluding treasury shares is 281,565,950.

The total number of voting rights in Entertainment One Ltd. as at 31 January 2014 is 285,029,656. This figure may be used by shareholders as the denominator in the calculation which will determine if they are required to notify their interest in, or a change to their interest in, Entertainment One Ltd. under the FCA's Disclosure and Transparency Rules.
