City of London Investment Group PLC14 December 2006 City of London Investment Group plc(The "Company") 14 December 2006 Total Voting Rights In conformity with the Transparency Directive's transitional provision 6, theCompany notifies the market of the following: As at the date of this announcement, the Company's issued share capital consistsof 26,777,800 ordinary shares with a nominal value of 1 pence each ("OrdinaryShares"), with voting rights. Out of this total, 2,249,000 shares are held by anESOP Trust on behalf of the Company's employees, and the associated loan fromthe Company to the Trust is treated in the Company's accounts as an investmentin own shares, similar to shares held for treasury. Therefore, the total number of Ordinary Shares with voting rights is 26,777,800. The above figure of 26,777,800 Ordinary Shares may be used by shareholders inthe Company as the denominator for the calculations by which they will determineif they are required to notify their interest in, or a change in their interestin, the share capital of the Company under the FSA's Disclosure and TransparencyRules.
