In conformity with the Transparency Directive, we notify the market of the following:

As of 31 July 2010 Wilmington Group plc's issued share capital with voting rights consists of 82,635,679 ordinary shares of 5p each.

1,942,000 ordinary shares are held in treasury and are not included in the above figure.

82,635,679 ordinary shares may be used by shareholders as a denominator for the calculations by which they will determine if they are required to notify their interest in, or change to their interest in the Company under the FSA's Disclosure and Transparency Rules.
