notice re PRO RATA OFFER

As announced on 23 March 2009, Berkeley Resources Limited intends to undertake a non-renounceable pro rata offer of shares on the basis of 1 new share at an issue price of $0.50 for every 20 shares held at the record date, together with 1 free attaching option for every 2 shares subscribed.

The Directors anticipate lodging a Prospectus with ASIC and ASX shortly.

The pro rata offer will only be made available to those shareholders with a registered address in Australia as at the record date.  

The attached Notice has been sent to current option holders today.

Non-Renounceable Pro-Rata Entitlements Issue

Notice to Optionholders

We write to you as the holder of options in Berkeley Resources Limited (Berkeley) as at today's date.

On 23 March 2009, Berkeley announced its intention to undertake a non-renounceable pro-rata entitlements issue on the basis of 1 share for every 20 shares held each at an issue price of $0.50 together with 1 free attaching option for every 2 shares subscribed for to eligible shareholders (Pro Rata Offer).

The Pro Rata Offer is only being made to shareholders of Berkeley who have registered addresses in Australia.

The Pro Rata Offer is not being made to Berkeley optionholders.

If you would like to participate in the Pro Rata Offer then you will need to exercise your options so that you are a registered holder (with a registered address in Australia) on the record date and ensure that you remain a registered shareholder of Berkeley up to and including the record date of the Pro Rata Offer. The record date for the Pro Rata Offer is anticipated to be 19 May 2009.

To exercise your options you will need to fill out an option exercise form and send it, together with a cheque for the exercise price of each option being exercised, to the Company's share registry, Computershare Investor Services Pty Ltd, as follows:
