Results of Annual General Meeting
Tremor International Ltd (AIM: TRMR), a global leader in advertising technologies, confirms that at the Annual General Meeting of the Company, held earlier today, all resolutions were duly passed.
The Company is therefore pleased to confirm that, further to the announcement on 2 March 2020, Sagi Niri, the Company's Chief Financial Officer, has been appointed to the Board with immediate effect. In addition, further to the announcement on 6 January 2020, Norman Johnston has been appointed Non-executive Director of the Company with immediate effect.

· As at 17 June 2020, the Company's issued share capital consists of 134,981,867 ordinary shares with a nominal value of NIS0.01 each, along with 24,009,350 shares reclassified as dormant shares under the Israeli Companies Law (without any rights attached thereon). The Company holds these dormant shares in treasury. Therefore, the total number of shares with voting rights is 134,981,867.

Sagi does not hold any shares in the Company. Mr Niri holds 600,000 restricted stock units over Ordinary Shares of NIS0.01 each in the capital of the Company ("RSUs" and "Ordinary Shares") as part of his remuneration package, with (i) 300,000 of the RSUs vesting gradually over a four year period, subject to compliance with performance criteria determined by the Company's Remuneration Committee and the Board, and the continued employment of Mr Niri by the Company or a subsidiary on the applicable vesting dates, and (ii) 300,000 of the RSUs vesting gradually over a four year period, subject to the continues employment of Mr Niri by the Company or a subsidiary on the applicable vesting dates.
