Result of General Meeting

Application for admission of new ordinary shares

 

FD (AIM:FDP.L, ESM:FDP.I), a leading provider of software and consulting services, announced on 12 February 2015 that the Company had placed 200,003 new ordinary shares (the "Placing Shares") conditional upon approval by shareholders at a General Meeting which was held earlier today.

 

The Company is pleased to confirm that the resolution proposed at the General Meeting was duly passed without amendment. As a result, the Placing Shares will be issued, allotted and admitted to trading on AIM and the ESM on 4 March 2015.

 

In addition, further to the announcement on 26 February 2015, FD confirms that the acquisition of Prelytix LLC was completed and that the Company has now issued and allotted 74,572 new ordinary shares (the "Consideration Shares") in respect of the initial consideration.

 

Application has been made for the Consideration Shares to be admitted to trading on AIM and the ESM and it is expected that admission will also take place on 4 March 2015. 

 

The Placing Shares and the Consideration Shares will rank pari passu with the Company's existing ordinary shares.

 

The current total issued share capital of the Company is 22,702,201 ordinary shares. Following admission of the Placing Shares and the Consideration Shares the total issued share capital of the Company will increase to 22,976,776 ordinary shares. This figure may be used by Shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a charge to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules. The Company does not hold any shares in treasury and therefore the total number of voting rights in the Company will be 22,976,776.
