Results of Annual General Meeting held on 30 January 2019

Henderson European Focus Trust plc (the 'Company') announces that at the Annual General Meeting held on 30 January 2019, all resolutions were duly passed.

The items of other business included special resolutions authorising:

- the allotment, or issue from treasury, of up to 10% of the share capital (being 2,163,899 shares at the date of this resolution) without first offering them to existing shareholders in accordance with statutory pre-emption procedures;

- the Company to make market purchases of its own ordinary shares up to a maximum of 14.99% (being 3,243,685 shares as at the date of this resolution) at the maximum price per share (exclusive of expenses) not exceeding the higher of:

i) 105% of the average middle market quotations for the five business days preceding the date of purchase; and

ii) the higher of the last independent bid and the highest current independent bid on the London Stock Exchange.

Shares repurchased will be either held in treasury or cancelled; and

- that a general meeting may be called on not fewer than 14 clear days' notice.

The Board of Directors of the Company has also been informed by Janus Henderson that Andrew McCarthy, co-fund manager of the Company's portfolio, will by mutual agreement be leaving Janus Henderson at the end of April. John Bennett, the Company's portfolio manager since 2010, will continue to manage the portfolio, supported by the wider European team.
