CIRCULAR TO SHAREHOLDERS

The Directors are pleased to announce that the Company has issued a circular to its shareholders setting out the terms and conditions of the proposed new incentive scheme arrangement ("the Incentive Agreement") in respect of the Company's Fund Manager ("the Circular"). The Circular also contains a notice convening a General Meeting of the Company on 6 August 2009 at which a resolution will be proposed to approve the Incentive Agreement.

Copies of the Circular have been forwarded to the FSA for publication through the document viewing facility in accordance with LR 9.6.1.
