Celtic Resources Holdings PLC29 May 2007 Celtic Resources Holdings plc (the "Company" or "Celtic") Change in director's interest The Company has been advised of the sale of 30,000 ordinary shares of Euro 0.25each in the Company 15,000 on 11 May 2007 and 15,000 on 14 May 2007 at 155p byMG Capital plc ("MG") through which Peter Hannen, a director of Celtic, holds aninterest that is declarable under the Companies Act 1990. Mr Hannen and JonathanScott Barret, also a director of Celtic, are both directors of MG, but areexcluded from the procedures whereby this decision was made.
