ECOFIN WATER & POWER OPPORTUNITIES PLC (the "Company")

The Company has been notified that on Friday, 30 May 2014, Mr David Simpson, a non-executive Director of the Company, purchased 25,000 Ordinary 0.1p Shares in the capital of the Company at a price of 154 pence per Ordinary Share, which are registered in Mr Simpson's SIPP.

As a result of this purchase, Mr Simpson's aggregate holding is 65,395 Ordinary 0.1p Shares. This aggregate holding represents 0.03% of the Company's issued share capital.
