In accordance with Paragraph 3.1.2 of the Disclosure and Transparency Rules, WS Atkins plc (the "Company") was notified on 18 November 2013 that on 15 November 2013 the Trustees of the Plan purchased ordinary shares of 0.5 pence each in the Company at a price of £13.21 per share on behalf of the directors and persons discharging managerial responsibilities, as set out below:
