Notification under paragraphs 3.1.2R to 3.1.4R of the Disclosure and Transparency Rules

Hill & Smith Holdings PLC ('Hill & Smith' or the 'Company') announces that it was notified on 20 August 2012 that Mr M Pegler, a person discharging managerial responsibilities of Hill & Smith, sold 3,902 ordinary shares in the Company at 321.26 pence per share and purchased 6,500 ordinary shares a 334.27 pence per share, resulting in a net acquisition of 2,598 ordinary shares. These transactions, which were related to Mr Pegler's SAYE and personal pension arrangements, were effected on 17 August 2012 and 20 August 2012 respectively, on the London Stock Exchange.

Following the above transactions, Mr Pegler is beneficially interested in 25,500 ordinary shares in the Company.
