PDMR Shareholding

Xchanging plc ("Xchanging"), the business technology and services provider, was informed on 23 May 2016 by the following individuals who are persons discharging managerial responsibility ("PDMR") that, following the vesting and exercise on 20 May 2016 of certain share awards under various Xchanging share plans, they accepted the recommended cash offer by CSC Computer Sciences International Operations Limited (for the issued share capital of Xchanging) in respect of their shareholdings in Xchanging. The transfer of their shares was completed on 24 May 2016.

Following this transaction, the resulting holding of Xchanging shares for each PDMR was nil.

This notification is made in accordance with DTR 3.1.4R(1)(a).
