Verona Pharma plc (the "Company") Director Shareholding

On 29 June 2007, the Company received notification that, between 25 and 29 June 2007, Herbert Stuart Bottomley, a director of the Company, acquired, in aggregate, an interest in 1,250,000 ordinary shares of 0.1p each in the Company ("Ordinary Shares") at a price of 2.375p per share. 500,000 Ordinary Shares were registered in the name of Herbert Stuart Bottomley and 750,000 Ordinary Shares were acquired in the name of Alpha Trustees Ltd a/c Mr. HS Bottomley SIPP.

The acquisition has increased Mr. Bottomley's interest in the Company to 8,450,000 Ordinary Shares, representing 5.86% of the Company's issued ordinary share capital.
