ZPG Shareholdings
The Company announces that on 9 July 2018, having been approved by the Remuneration Committee, the following Nil Cost Option to acquire ordinary shares in the capital of ZPG Plc of £0.001 each (Shares) under the ZPG Plc Value Creation Plan (VCP) has been granted to the following person discharging managerial responsibilities (PDMR):

The number of Shares over which the Nil Cost Option was granted has been calculated by reference to VCP total shareholder return performance conditions as measured at 9 July 2018, being the date on which the court sanctioned the scheme of arrangement in relation to the change of control.
The Nil Cost Option is subject to the rules of the VCP and became immediately exercisable in connection with the recommended acquisition of ZPG Plc by Zephyr Bidco Limited, a wholly-owned indirect subsidiary of funds managed by Silver Lake Management Company V, LLC.
The Notification of Dealing Form can be found below. This announcement is made in accordance with Article 19 of the EU Market Abuse Regulation 596/2014.
