Director's shareholding, Additional Listing and Total Voting Rights

ZincOx Resources plc (AIM:ZOX) announces that on 13 July 2012 it issued 42,328 new Ordinary Shares of 25p each ('New Ordinary Shares') pursuant to an exercise of options by Andrew Woollett, Executive Chairman of the Company at an exercise price of 45p per share in accordance with the rules of the Executive Share Option Scheme.

Pursuant to the exercise of these options, application has been made to the London Stock Exchange for the New Ordinary Shares, which will rank paripassu with the existing shares in issue, to be admitted to trading on AIM, and admission is expected to become effective on 19 July 2012.

Following admission, Andrew Woollett will beneficially hold 2,346,510 shares in the Company representing approximately 2.6 per cent. of the enlarged issued share capital of the Company. 800,000 of the 2,346,510 shares held by Andrew Woollett are registered in the name of EFG Trust Company Limited.

The Company's total issued share capital after the admission of the New Ordinary Shares will be 89,063,663 Ordinary Shares. The Company does not currently hold any shares in treasury. This figure of 89,063,663 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FSA's Disclosure and Transparency Rules.
