Zoo Digital Group PLC23 October 2006 For immediate release 23 October 2006 ZOO Digital Group plc ("ZOO" or the "Company") Result of AGM The Board of ZOO is pleased to announce that at the annual general meeting ofthe Company ("AGM") held earlier today, all the resolutions proposed werepassed. The resolutions passed at the AGM included a resolution to reorganisethe share capital of the Company by way of a consolidation of the issued andauthorised share capital. The consolidation of the share capital will result inevery 75 ordinary shares with a nominal value of 0.2 pence each in the capitalof the Company being consolidated into 1 new ordinary share with a nominal valueof 15 pence each. The consolidation of the share capital will become effective on Tuesday 24October 2006. Shareholders on the register at the close of play on Monday 23October 2006 will receive 1 new ordinary share for every 75 ordinary shares thenheld. The new ordinary shares will be identical in all respects to the existingordinary shares, save in respect of their nominal value which will increase from0.2 pence to 15 pence. It is expected that dealings in the existing ordinary shares will cease at theclose of business on Monday 23 October 2006. Application has been made for theadmission of the new ordinary shares to trading on AIM and it is expected thatadmission of the new ordinary shares will become effective and dealings willcommence on Tuesday 24 October 2006. It is expected that CREST accounts will becredited in respect of the new ordinary shares on Tuesday 24 October 2006 andthat replacement share certificates will be despatched by 27 October 2006.
