Circumstances giving rise to the notifications
Under the terms of the Company’s deferred annual bonus awards for the Company’s financial period ended 2 April 2018, certain directors were eligible to subscribe at nominal value for a set number of the Company’s A shares. The terms of issue included a performance condition related to the Company’s adjusted earnings per ordinary share from continuing operations for the financial year ending 29 March 2021 and the extent to which those earnings exceeded the same measure for the financial period ended 3 April 2017. If the performance condition were not met in full, then the director concerned would be required to transfer all or a percentage of those shares for no consideration back to the Company, or to an employee benefit trust designated by the Company for this purpose.
Further background detail on the operation of the scheme as it related to the Company’s financial period ended 2 April 2018 and the numbers of shares subsequently awarded and subscribed for is set out in the announcement made by the Company on 5 June 2018.
The outcome of the performance condition is now known and the Company’s remuneration committee has determined that the following directors must transfer the following shares for nil consideration to RBT II Trustees Limited, being the trustee of the Ram Brewery Trust II which is the employee benefit trust designated by the Company for this purpose:
● Patrick Dardis - 7,089 A shares;
● Tracy Dodd - 393 A shares; and
● Torquil Sligo-Young - 3,464 A shares.
