Xchanging plc

PDMR Shareholding

Xchanging plc ('Xchanging'), the business technology and services provider, was informed today of the following transactions by David Bauernfeind, a person discharging managerial responsibility ('PDMR'), and persons connected to him:

a) David Bauernfeind purchased 12,302 ordinary shares of 5p each in Xchanging ("Shares") (representing 0.0050% of Xchanging's issued share capital).

b) Nicolette Bauernfeind purchased 1,226 Shares (representing 0.0005% of Xchanging's issued share capital).

c) Ornella Bauernfeind purchased 817 Shares (representing 0.0003% of Xchanging's issued share capital).

These transactions were carried out at an average price of 97.67p per share. Following this transaction, the total number of ordinary shares held by Mr Bauernfeind (including those held by connected persons) has increased to 781,906 ordinary shares, representing approximately 0.316% of Xchanging's issued share capital.

The above transactions all took place on the London Stock Exchange on 30 July 2015. This notification is made in accordance with DTR 3.1.4.
