Xaar plc (the "Company")

Director/PDMR Shareholding

The Company has been notified that on the 29 August 2013, Ian Dinwoodie, Chief Executive Officer of the Company, sold 150,000 Xaar plc Ordinary Shares of 10 pence each ("Ordinary Shares") at a price of 834.5 pence per Ordinary Share. The transaction was executed as part of a pension fund re-balancing exercise.

Following this transaction, Mr Dinwoodie's beneficial interest in the Company is 57,449 Ordinary Shares, representing a beneficial interest in the Company of 0.08% of the current issued share capital.

The Company has also been notified that on 29 August 2013 Ramon Borrell, Research and Development Director, exercised options over 205,357 Xaar plc ordinary shares of 10 pence each ("Ordinary Shares"), at an exercise price of nil pence per Ordinary Share. The option had been granted under the Xaar plc 2007 Long Term Incentive Plan ("LTIP") on 1 April 2009 and vested on 1 April 2012, having met the performance criteria in full. All of the shares were sold on 29 August 2013 at a price of 841.0627 pence.

The shareholding held by Mr. Borrell has not been reduced by the exercise and sale of these LTIP shares. Both before and after the exercise and sale Mr. Borrell held 178,851 shares, representing a beneficial interest in the Company of 0.24% of the current issued share capital.
