Exercise of Options and dealings by directors

The Company announces that it has issued 10,000 ordinary shares of 25p each ("Shares") as follows:

1. 4,438 Shares at a price of 220p per Share pursuant to the exercise of certain SAYE options by an employee (the "SAYE Shares"); and

2. 5,562 Shares at a price of 220p per Share to the Wynnstay Employee Share Ownership Trust (the "Trust"), the trustees of which include Mr John Eric Davies, Mr Bryan Paul Roberts and Mr Edward Gareth Owen, directors of the Company, to meet obligations which may arise on the exercise of further options over Shares in the future (the "Trust Shares").

Following these transactions, the Trust holds 5,600 Shares, representing approximately 0.03% of the issued ordinary share capital of the Company.

Application will be made for the SAYE Shares and the Trust Shares to be admitted to trading on AIM and dealings in these shares are expected to commence on 17 July 2012.

The total number of issued ordinary shares in the Company, including the SAYE Shares and the Trust Shares, will then be 16,717,435 Shares and consequently the total number of voting rights in the Company is 16,717,435. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure and Transparency Rules.
