Director Dealings
Wynnstay Group plc (the "Company") announces that it was informed today that on 14 April 2015, the following transactions in ordinary shares of 25 pence each in the Company ("Ordinary Shares") occurred:
Mr K.R. Greetham and Mr. B.P. Roberts, both directors of the Company, respectively exercised 1,413 and 2,827 options over Ordinary Shares all at an exercise price of 220 pence per share. In addition, the Wynnstay ESOP Trust (the "Trust") acquired 66,762 Ordinary Shares at a price of 490 pence per share, from employees of the Company following the exercise of eligible options under the Company's existing employee share schemes (the "Acquisition"). Mr Greetham and Mr Roberts are both trustees of the Trust. Included in the Acquisition were 2,827 Ordinary Shares belonging to Mr Roberts.

As at the date of this announcement, the Company's issued share capital and total voting rights comprises 19,287,226 Ordinary Shares. No shares are held in treasury. The total number of current voting rights in the Company is therefore 19,287,226.
The above figure (19,287,226 Ordinary Shares) is the figure which may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company.
