Director/ PDMR Shareholding

WYG plc ('Company') announces that on 8 March 2012,following the recommendation of the Company's remuneration committee, Sean Cummins, Group Finance Director, has been awarded an option to acquire 1,941,174 Ordinary Shares at an exercise price of 0.1p per share, ('Award') in accordance with the WYG Transformation Incentive Plan ('TIP').

In accordance with the rules of the TIP, the Award has been granted as a conditional allocation of Ordinary Shares with a nominal value exercise price and no shareholder rights will be conferred upon the awardholder until the Award has vested and Ordinary Shares are acquired. Such vesting is subject to the achievement of challenging and stretching performance conditions relating to the achievement of the share price threshold targets for the Ordinary Shares, set out below:

In addition, the Company announces that ithas been notified today that on 8 March 2012, two of the Company's executive directors increased their beneficial shareholdings in the Company by the on market purchase of a total of 63,640 ordinary shares of 0.1 pence ('Ordinary Shares') as follows:

Paul Hamer, Chief Executive Officer, acquired 37,500 Ordinary Shares at a price of 52 pence per share taking his total beneficial shareholding to 68,976 Ordinary Shares representing 0.11% of the voting rights.

Graham Olver, Chief Operating Officer, acquired 25,960 Ordinary Shares at a price of 52 pence per share taking his total beneficial shareholding to 47,664 Ordinary Shares representing 0.07% of the voting rights.

The Company has 64,705,797 Ordinary Shares in issue.
