Weatherly International Plc ('Weatherly' or the 'Company')
Issue of Equity
Further to the announcement of 31 July 2009, Weatherly announces that it has issued 40,468,000 ordinary shares of 0.5p each ('Shares') to Dundee Precious Metals Inc ('DPM') for aggregate proceeds of US$2,000,000 (approximately £1.18 million) at a price of approximately 2.9 pence per Share.
Pursuant to a Subscription Agreement, Weatherly retains the right for 12 months to call on DPM to subscribe for additional Shares on up to two occasions for an aggregate consideration of up to US$5 million at the higher of the then prevailing market price or (save in certain circumstances) 3 pence per Share.
Application has been made for the admission of 40,468,000 Shares to trading on the AIM Market of the London Stock Exchange. Admission is expected to occur at 08.00 a.m. on 7 August 2009.
