EXERCISE OF WARRANTS AND

ISSUE OF EQUITY

Quindell Portfolio Plc (AIM: QPP.L), the brand extension company and a leading practice provider of consultancy, software and outsourcing in its key markets, announces that on 15 March 2012, following an exercise of warrants by LOM Capital Limited, the Board of Quindell has issued and allotted 4,041,827 new Quindell shares of 1 pence each ("New Shares"). These warrants were due to expire on 28 April 2012. Following the exercise of these warrants, the Company has 34,171,666 warrants outstanding, of which 6,351 expire on 28 April 2012, 16,642,255 expire on 28 April 2013 and 17,523,060 expire on 28 April 2014.

Application has been made for the 4,041,827 New Shares to be admitted to trading on AIM. Admission of the shares is expected to occur on 22 March 2012. Following Admission Quindell will have 2,571,169,923 ordinary shares in issue. The Company has no ordinary shares held in treasury. The total of 2,571,169,923 ordinary shares may therefore be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FSA's Disclosure and Transparency Rules.
