Warner Estate Holdings PLC31 March 2005 Warner Estate Holdings PLC ("the Company") Directors' Shareholding Messrs. P C T Warner, P W Collins and R Moore, Directors of the Company, eachpurchased 46 Ordinary shares, and Mr M J Stevens, a Director of the Company,purchased 44 Ordinary shares in the Company today at 560p each under theCompany's All Employee Share Ownership Plan ("the AESOP"). Messrs. P C T Warner,P W Collins and R Moore purchase 23 of their shares as Partnership Shares and 23shares each were purchased by the Company as Matching shares under the rules ofthe AESOP. Mr M J Stevens purchased 22 of his shares as Partnership Shares and22 shares were purchased as Matching Shares under the rules of the AESOP. Allshares were purchased on their behalf by Capita IRG Trustees Limited, theTrustee of the AESOP. The Trustee will hold the Shares in Trust for a minimumperiod of five years following the date of the purchase. The shares purchasedrepresent less than 0.001 per cent. of the Company's issued ordinary sharecapital.
