Additional Listing and Total Voting Rights

Application has been made to AIM for the admission of 15,218 new ordinary shares of 5p each in the Company ("Ordinary Shares") to trading. These shares, which will rank pari passu in all respects with the Company's existing Ordinary Shares in issue, have been allotted following the exercise of options by a former employee, pursuant to the WH Ireland Group plc Unapproved Share Option Scheme at the exercise price of 52.38 pence per share. Admission of the new Ordinary Shares is expected to become effective on 11 August 2011.

The total number of Ordinary Shares in issue on the date of admission will be 21,296,606. Of this total, 211,822 Ordinary Shares are held in treasury. Therefore, the total number of Ordinary Shares in issue with voting rights will be 21,084,784.

The above figure (21,084,784) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company, under the FSA's Disclosure and Transparency Rules.
