 Transaction in Own Shares

Exercise of Options

Water Intelligence plc (AIM: WATR.L), a leading multinational provider of precision, minimally-invasive leak detection and remediation solutions for both potable and non-potable water, today announces that it has received notice from a Company consultant, to exercise options over 25,000 shares ("Option Shares") at 100 cents per Option Share. Consequently, the Company has issued and allotted 25,000 new ordinary shares ("New Ordinary Shares").

The Company has agreed to acquire the New Ordinary Shares each for 247 pence (the "Transaction") pursuant to authorities approved by shareholders at the Company's Annual General Meeting dated 28 June 2019.

Application has been made for the 25,000 New Ordinary Shares to be admitted to trading on AIM and dealings are expected to commence at 8.00 a.m. on 14 January 2020 ("Admission"). The New Ordinary Shares will rank pari passu with the Company's existing ordinary shares.

The New Ordinary Shares which have been purchased will be held in treasury. Following the Transaction, the Company will hold 170,000 Ordinary Shares in treasury. Therefore the total number of voting rights in the Company following the Transaction and Admission remains 16,902,371 shares (divided into 14,702,371 Ordinary Shares not held in treasury, which are admitted to trading on AIM and entitle the holder to one vote per Ordinary Share; 2,200,000 B Ordinary Shares of 1 penny each which are not admitted to trading on AIM, but do still entitle the holder to one vote per ordinary share, but carry no economic rights) which may be used by shareholders as the denominator for the calculations by which they determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
