WANDISCO ANNOUNCES SUCCESSFUL £19 MILLION EQUITY PLACING

Sheffield, UK - WANdisco (LSE: WAND), a provider of high-availability software for global enterprises to meet the challenges of Big Data and distributed software development is pleased to announce that, further to the announcement issued earlier today, a total of 2 million new ordinary shares ("Ordinary Shares") in the Company (the "Placing Shares") have been successfully placed by Panmure Gordon & Co ("Panmure Gordon") and the Company with institutional investors (the "Equity Placing").

The Placing Price has been set at 950 pence per share (the "Placing Price"). The Placing Price is equivalent to a 7.8 per-cent discount to the closing mid-market price of an Ordinary Share on the AIM market of the London Stock Exchange plc ("AIM") on 25 September 2013.

Accordingly, subject to the satisfaction of certain conditions, the Equity Placing will raise gross proceeds of £19 million.

The Placing Shares represent approximately 9.3 per-cent of WANdisco's issued share capital prior to the Equity Placing.

The Company has applied for admission of the Placing Shares to trading on AIM ("Admission"). It is expected that Admission will take place on or around 1 October 2013. Following Admission, there will be 23,486,642 Ordinary Shares in issue.

The Placing Shares will, when issued, be credited as fully paid and will rank in full for all dividends and other distributions declared, made or paid in respect of the Ordinary Shares then in issue and will otherwise rank upon Admission pari passu in all respects with the existing Ordinary Shares of the Company.

Panmure Gordon acted as Bookrunner in connection with the Placing.
