DIRECTORS' SHAREHOLDINGS FOLLOWING RIGHTS ISSUE

Cookson Group plc announces that it has been advised that the Directors have taken up all their rights to new Ordinary Shares under the Company's recent Rights Issue which closed on 4 March 2009. Under the Rights Issue, qualifying shareholders were entitled to buy 12 New Shares at 10 pence for each 1 Existing Share held.
The Directors acquired the following Ordinary Shares pursuant to the Rights Issue, and now have the following total holdings of Ordinary Shares:
