Top Up Offers
Ventus VCT plc, Ventus 2 VCT plc and Ventus 3 VCT plc (the "Companies")
The Boards of Directors of the Companies are pleased to announce the launch of a top up offer of new ordinary shares to raise up to £1.5 million in Ventus VCT plc and a joint top up offer of new ordinary shares to raise up to £1 million in each of Ventus 2 VCT plc and Ventus 3 VCT plc. The new ordinary shares will be issued at a price reflecting the most recently published net asset value (adjusted to account for offering costs) of the existing ordinary shares at the time of issue.
The offers are now open and existing ordinary shareholders in the Companies will have exclusivity as regards the offers until 5pm on Wednesday 9 December 2009. New investors may apply before that date and such applications will be held and met on a first come, first served basis should the offers not be fully subscribed by 5pm Wednesday 9 December 2009. The offers are expected to close by 5pm on Friday 18 December 2009.
The new ordinary shares will rank pari passu in all respects with the existing ordinary shares except that they will not participate in the interim dividend that has been declared for the half year to 31 August 2009 (to be paid in January 2010).

The Directors of Ventus VCT plc and Ventus 2 VCT plc are also exploring the possibility of raising further C Share monies during the current tax year after the success of the joint C Share offering earlier this year. Ventus VCT plc and Ventus 2 VCT plc will make further announcements as appropriate.
