Appointment of Chair

The Board of the Company announces the appointment of Simon Davies as Independent Non-Executive Director and Chair of the Board with effect from 1 July 2026. Simon will succeed Charles Cade as Chair of the Board following a short handover period. Charles Cade, who has served as the Interim Chair since January 2026, will continue as the Company's Senior Independent Director. Simon will sit on each of the Board committees, with the exception of the Audit and Risk Committee.

Simon is an internationally experienced Chair who has held senior roles across the legal, banking and sovereign sectors, with extensive experience of leading international teams in Asia and the Middle East.

Simon is currently Chair of ICBC Standard Bank Plc. As Firmwide Managing Partner of Linklaters LLP from 2007 to 2015 he led the firm to record financial performance and grew the international network of the business in Africa, Australia, Asia, the Middle East and in the US, having earlier spent twelve years in Hong Kong and Tokyo culminating in the role of Asian Managing Partner. He went on to serve on the Executive Committee of Lloyds Banking Group plc, leading its People, Legal and Strategy functions, and, most recently, worked as a senior executive in the Middle East.

The appointment comes as the Board continues its programme to address the Company's discount to net asset value. Alongside an active share buyback programme, the Company completed a tender offer for up to 10 per cent of its share capital in January 2026 and announced a further tender offer for up to 10 per cent in June 2026, with the discount having narrowed materially over the period.

Simon's appointment is announced ahead of the Company's Annual General Meeting, to be held at Stationers' Hall, London at 12.00pm on Thursday, 25 June 2026. Charles Cade as the Interim Chair will conduct the AGM as Simon's appointment will be in effect from 1 July 2026. Simon will attend the AGM on 25 June 2026 to give shareholders an early opportunity to meet with incoming Chair.
