Annual Financial Report

Victoria PLC has today published its Annual Report & Accounts for the year ended 3 April 2010 and associated documents. The Annual Report has been sent to shareholders and is also available on the Company's website www.victoriaplc.com.

In accordance with Listing Rule 9.6.1R, the Company has today submitted to the UK Listing Authority two copies of each of the following documents:

·; Annual Report & Accounts for the year ended 3 April 2010;

·; the Notice of the Annual General Meeting;

·; the proposed New Articles of Association to be put to shareholders at the forthcoming Annual General Meeting; and

·; the Form of Proxy.

The documents will shortly be available for inspection at the UK Listing Authority's Document Viewing Facility, which is situated at: Financial Services Authority, 25 The North Colonnade, Canary Wharf, London, E14 5HS Tel: 020 7066 1000.

The information below is provided in order to comply with DTR 6.3.5 and should be read in conjunction with the Preliminary Announcement released on 15 June 2010. Directors' responsibility statement

The responsibility statement below has been prepared in connection with the Company's full Annual Report for the year ended 3 April 2010. Certain parts thereof are not included within this announcement.

"The Directors confirm that, to the best of their knowledge:

1. The Group and the Company financial statements in the Annual Report, which have been prepared in accordance with IFRS give a true and fair view of the assets, liabilities, financial position and profit of the Group and the Company taken as a whole; and

2. the management report (which comprises the Chairman's Statement, Business Review and the Directors' Report) includes a fair review of the development and performance of the business and the position of the Group and the Company taken as a whole, together with a description of the principal risks and uncertainties that they face."

The responsibility statement was approved by the Board of Directors on 14 June 2010 and was signed on its behalf by Alan R Bullock, Group Managing Director and Ian G Davies, Group Finance Director.
