The following contingent option awards were granted in the UK on 23 June 2009 to the undernoted directors and persons discharging managerial responsibility pursuant to the rules of the United Utilities Group 2008 Performance Share Plan as approved by the shareholders at the General Meeting on 1 July 2008. The figures reflect the maximum number of shares over which the option might be exercised. The actual number will depend upon the extent to which the established performance conditions are satisfied over the performance period. Under the rules, the awards are subject to uplift for notional dividends made or paid during the performance period.

The ordinary shares in United Utilities Group PLC in column 1 below were allotted in the UK after close of the market on 23 June 2009 to the undernoted directors and persons discharging managerial responsibility at full market value. These shares will constitute investment shares as defined in the rules of the United Utilities Group PLC 2008 Matching Share Award Plan (the "Plan") which was approved by the shareholders at the General Meeting on 1 July 2008.

On 23 June 2009, the trustees of the Plan granted in the UK, matching share awards as listed in column 2 below. The matching share awards give each executive an option to acquire up to a maximum number of ordinary shares in United Utilities Group PLC at nil cost to them subject to the rules of the Plan. The actual number of ordinary shares which will vest will depend upon the extent to which the established performance conditions are satisfied over the performance period. Under the rules, the awards are subject to uplift for notional dividends made or paid during the performance period.

The following awards were granted on 23 June 2009 pursuant to the rules of the Deferred Share Award Scheme (`the scheme') as approved by the board on 25 November 2008. Under the terms of the plan, awards will (which are structured as options to acquire shares in the company with a zero exercise price) be satisfied by using shares purchased in the market. Newly issued or treasury shares cannot be used to satisfy awards under this plan. No directors of the company can participate in the scheme. Under the rules, the awards are subject to uplift for notional dividends made or paid during the vesting period. The awards will normally become capable of exercise after the end of the vesting period and must be exercised within 90 days thereafter. The ability to exercise an award is not subject to satisfying a performance target.
