Universe Group PLC19 January 2005 UNIVERSE GROUP PLC (the "Company") Result of the Scrip Dividend alternative Director share dealings Universe Group plc, the retail and information systems company, today announcedthat under the Company's Scrip Dividend Scheme shareholders representing 24.8%of the ordinary shares elected to receive shares in lieu of cash in respect ofall or part of the Interim Dividend for the six months to 30 June 2004, whichwas paid today, 19 January 2005. Under the terms of the Scrip Dividend electingshareholders receive new ordinary shares of 5p each ("New Ordinary Shares") atan effective price of 19 pence per share in lieu of the interim dividend of 0.25pence per share. As a result, a total 198,922 New Ordinary Shares have been issued and allotted.Application will be made for the New Ordinary Shares to be admitted to tradingon the AIM and dealings are expected to commence on 25 January 2005.
