Ultra Electronics Holdings plc(the "Company")
Grant of Restricted Stock Unit Awards
On 8 July 2022, the following Persons Discharging Managerial Responsibility (the "Executives") were granted Restricted Stock Unit Awards over ordinary shares of 5 pence each in the Company ("RSUs") under the Ultra Electronics Long Term Incentive Plan 2017 ("LTIP") as follows:

The RSUs were granted using the middle-market quotation on the dealing day prior to date of grant (as derived from the London Stock Exchange Daily Official List), being £34.90.
The RSUs are in the form of nil cost conditional awards under which shares are automatically delivered on vesting and are subject to continued employment.
The RSUs would normally vest on the third anniversary of the grant date, subject to continued employment. The RSUs are also subject to the malus and clawback provisions of the LTIP.
No consideration was paid for the grant of the RSUs and no payment is due on their vesting.
