Result of General Meeting

Further to the announcement on 8 September 2014 in relation to the placing ("Placing") of new ordinary shares ("Placing Shares") in the Company to raise £2.0 million and the despatch of a related shareholder circular, Union Jack (AIM: UJO), an onshore oil and gas exploration company with a focus on drilling and development opportunities in the United Kingdom hydrocarbon sector, is pleased to announce that all resolutions proposed at the General Meeting of the Company held earlier today were duly passed.

Total voting rights

As a result, the Placing has become unconditional other than in respect of admission of the Placing Shares to trading on AIM. Application has been made for admission to trading on AIM of 666,666,641 Placing Shares. Admission of the Placing Shares on AIM is expected to become effective at 8.00 a.m. on 26 September 2014, following which there will be in total 2,378,420,570 ordinary shares in the capital of the Company in issue, each carrying equal voting rights. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Union Jack under the FCA's Disclosure and Transparency Rules.

Directors' holdings on Admission

Set out below are the interests of the directors in the Company's Enlarged Share Capital subject to admission of the Placing Shares to trading on AIM.

Notes:

(1) Joseph O`Farrell is a director and owner of 50 per cent. of the issued share capital of Gilmaul Limited. Gilmaul Limited holds 8,000,000 Ordinary Shares in the Company, which are included in the above figure.

(2) David Bramhill is the 100 per cent. beneficial owner of Corby Limited, a company incorporated in England and Wales, that holds 6,200,000 Ordinary Shares in the Company which are included in the above figure. In addition Jayne Bramhill, David Bramhill's wife, holds 800,000 Ordinary Shares in the Company, which are included in the above figure.

(3) Jean Bull, Graham Bull's wife, holds 2,000,000 Ordinary Shares in the Company, which are included in the above figure.
